Templafy Fair Usage Policy
Effective Date: 10 July 2026
1. Purpose and Scope
This Fair Usage Policy (“Policy”) governs Customer’s use of Templafy’s AI-enabled products and functionality made available under Customer’s subscription (the “AI Functionality”), the monthly AI usage included with Customer’s subscription (the “Monthly Included Usage”), and the functionality allowances included with Customer’s package (the “Package Entitlements”). This Policy is intended to support reliable service and predictable access to the AI Functionality.
This Policy applies only to the AI Functionality that is expressly included in Customer’s subscription or otherwise activated for Customer under the applicable Service Order or other ordering document (the “Service Order”). Not all AI Functionality described in this Policy is available to every Customer.
2. AI Functionality and Included Usage
2.1 AI Functionality
Templafy’s AI Functionality enables users to generate, edit, and transform digital content within the Services. The AI functionality available to a Customer depends on Customer’s Service Order, package, purchased add-ons, and configuration. Available AI Functionality can include, as applicable:
- Document Agents, including Custom Agents
- Prompt-to-presentation
- Prompt-to-slide
- AI Edit Agent
- AI workflow integrations (MCP), enabling document creation and editing initiated from AI chat interfaces (e.g., Claude, ChatGPT, Microsoft Copilot, or internal AI assistants)
- AI Prompt Library
- AI Assistant
- AI Smart Fields
- AI Tagging
- AI Data Transformation
- AI DocGen API and Document Workflows
- File upload for context and AI-powered search
- AI-generated text, formatting, document structuring, or content enhancement features
- Any future AI-enabled features, workflows, integrations, or automation capabilities
Templafy may update AI Functionality from time to time. AI Functionality identified as beta, preview, or “coming soon” is provided as-is, and can be modified, withdrawn or made subject to separate usage parameters.
2.2 AI Usage Tiers and Monthly Included Usage
Each Templafy package includes an AI usage tier (the “AI Usage Tier”) with a corresponding monthly amount of included AI usage (the “Monthly Included Usage”). AI Usage Tiers correspond to Customer’s package (e.g., the Team, AI Starter, Platform, Pro, and Premium tiers), unless specified otherwise. Higher usage tiers or expanded usage are available through add-ons or package upgrades, as set out in the applicable Service Order.
Unless otherwise specified in the Service Order:
- Monthly Included Usage is pooled at the Customer (organization) level;
- Monthly Included Usage resets each calendar month, and unused capacity does not roll over; and
- Monthly Included Usage applies in aggregate across all AI Functionality available to Customer.
AI Usage Tiers are intended to align with ordinary business use and to provide predictable pricing without per-action overage charges.
2.3 How Usage is Measured
AI usage is consumed through actions and outcomes performed using the AI Functionality. By way of illustration and without limitation, these include:
- Creating first-draft documents and presentations from notes, files, or other source material
- Adding, revising, or restructuring content in existing documents
- Generating or populating pages, slides, and fields
- Editing or improving text and layouts with AI
- AI-assisted search and suggestions
- Reviewing or analyzing a document’s structure and content
- Document creation or editing initiated through AI workflow integrations (e.g., MCP)
- Document generation through APIs or automated workflows
Different actions consume usage at different rates, with weightings reflecting the underlying processing intensity of each action. Usage varies based on processing intensity, task size, complexity and connected knowledge sources. Templafy measures usage consumption through its internal measurement methodologies and systems, which may evolve as AI Functionality, underlying AI models, and processing methods change. Templafy’s measurement records govern for purposes of this Policy. Customers can view their aggregate consumption in the administrative dashboard or request it from Templafy.
3. Package Limits
Customers have access to the AI Functionality and platform capabilities included in their package, unless specified otherwise in their Service Order. For certain functionality, the number of configurations that may be deployed (live) at any one time is set out in this Policy (the “Package Entitlements”). Unless stated otherwise, Package Entitlements apply only to deployed (live) use and not to testing or configuration. As of the Effective Date, the Package Entitlements are:

* The number of Custom Agents that may be configured and tested is unlimited; the Package Entitlement refers to the number of Custom Agents deployed (live) at any one time.
Additional capacity is available through add-ons or package upgrades, as set out in the applicable Service Order. Templafy may update the Package Entitlements in accordance with Section 8.
4. Fair Use
The AI Functionality, Monthly Included Usage, and Package Entitlements are for legitimate, ordinary internal business purposes only. Usage that materially exceeds normal document workflows for an organization of Customer’s size and commercial profile, or otherwise conflicts with this Policy, is not permitted. Templafy will assess this standard reasonably and in good faith. Short-term peaks from ordinary business activity will not, by themselves, be treated as excessive. Customers should notify Templafy in advance of unusually large or automated workloads, including bulk document generation through APIs).
5. Exceeding Included Usage
5.1 What Happens if You Exceed Included Usage
Templafy does not automatically charge per-unit overage fees. If Customer exceeds its Monthly Included Usage:
- Notification: Templafy will notify Customer when consumption approaches or exceeds Monthly Included Usage.
- Review: Templafy will work with Customer to review usage and identify the appropriate AI Usage Tier, add-on, or package.
- Alignment: If consumption persistently and materially exceeds Monthly Included Usage, the parties will align Customer to the appropriate AI Usage Tier or expanded usage add-on, effective at Customer’s next renewal or earlier by mutual agreement.
- Restriction: If excessive consumption continues after notice and Customer declines to align its AI Usage Tier, or in cases of egregious or abusive use, Templafy may, after notice, throttle or temporarily restrict access to the AI Functionality until consumption returns within Monthly Included Usage or is the parties agree
don an appropriate tier. Any restriction is limited to the AI Functionality; the remainder of the Services is unaffected.
5.2 Temporary Usage Flexibility
The Service Order may provide a usage accommodation period, such as during a package, during which consumption above Monthly Included Usage will not trigger additional charges or required tier alignment. Sections 4, 6 and 7 continue to apply during such period.
6. Prohibited Use
Unfair or prohibited usage includes, but is not limited to:
- Automated or Non-Human Initiation: Using bots, scripts, or other automated means to access AI Functionality or generate high volumes of AI outputs, except through integrations, APIs, and workflows made available by Templafy for that purpose.
- Resale or Redistribution: Reselling, sublicensing, redistributing, or commercially exploiting AI Functionality or Monthly Included Usage to third parties.
- Abusive Volume: Generating AI output at a scale that materially exceeds typical business usage or is intended to stress-test, benchmark, extract value from, or reverse engineer Templafy’s AI systems.
- Circumvention: Attempting to bypass usage limits, Package Entitlements, monitoring controls, subscription tiers, security mechanisms, or administrative restrictions, including through credential sharing or account rotation.
- Security Violations: Attempting to breach, probe, compromise, or interfere with Templafy security, systems, or infrastructure.
- Prohibited Content: Submitting prompts or content that violates applicable law, regulation, third-party rights, or Templafy’s Acceptable Use Policy.
7. Usage Monitoring and Compliance
Templafy monitors aggregate usage of the AI Functionality to operate the Services, assess compliance with this Policy, and help Customer select the appropriate AI Usage Tier. Where Templafy identifies non-compliance with this Policy, Templafy will, except in urgent cases (for example, security risks or prohibited use), notify Customer and provide a reasonable opportunity to remediate before suspending or restricting access. Material or repeated violations of this Policy may result in suspension, restriction, termination, or non-renewal of the Services, in addition to other available remedies. Access will be restored promptly once the issue is resolved.
8. Changes to This Policy
Templafy may update this Policy, including AI Usage Tiers, usage measurement methodologies, and Package Entitlements by posting a revised version at https://www.templafy.com/home/legal/fair-usage-policy/. For material changes, Templafy will provide at least 30 days’ advance notice. Any update takes effect on the date stated in the notice or updated Policy, and Customer’s continued use of the AI Functionality after that date constitutes acceptance.
9. Prior AI Credits
If a Service Order or prior version of this Policy refers to “AI Credits,” that reference will be read as a reference to Monthly Included Usage under the AI Usage Tier applicable to Customer’s package. Section 2.3 replaces any prior AI Credit consumption rates. Customer’s resulting Monthly Included Usage will be no less favorable, for ordinary business use, than the AI Credit allocation stated in Customer’s Service Order. For Customers on the Templafy Agents Platform (Credit Trial) package or another package with a reduced AI Credit allocation, the applicable AI Usage Tier is the “AI Starter Usage” tier, as specified in the Service Order or otherwise communicated by Templafy.
